1. Agreement to Terms

By accessing or using GrowZen's services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services. These Terms apply to all visitors, users, and clients of GrowZen.

2. Services Description

GrowZen provides e-commerce development, design, marketing, and related digital services. Our services include but are not limited to:

  • Shopify and WooCommerce store development
  • E-commerce design and customization
  • SEO and digital marketing services
  • Performance marketing and paid advertising
  • Conversion rate optimization
  • Automation and integration services
  • Support and maintenance services

3. Agency-Client Relationship

3.1 Scope of Work

The specific scope of work, deliverables, timelines, and pricing for each project will be detailed in a separate Service Agreement or Statement of Work (SOW). This document will be provided before work commences and must be agreed upon by both parties.

3.2 Client Responsibilities

As our client, you agree to:

  • Provide accurate and complete information necessary for project execution
  • Respond to requests for feedback, approvals, or information in a timely manner
  • Provide access to necessary accounts, platforms, and systems
  • Make timely payments as outlined in the payment schedule
  • Comply with all applicable laws and regulations
  • Ensure you have the legal right to use any content, images, or materials you provide

3.3 GrowZen Responsibilities

We agree to:

  • Perform services with professional skill and care
  • Meet agreed-upon deadlines to the best of our ability
  • Communicate regularly about project progress
  • Maintain confidentiality of client information
  • Deliver work that meets the specifications outlined in the Service Agreement

4. Payment Terms

4.1 Payment Milestones

Payment terms will be specified in your Service Agreement. Typically, payments are structured as follows:

  • Initial Deposit: A percentage of the total project cost (typically 30-50%) is required to commence work
  • Milestone Payments: Payments are due upon completion of specific project milestones as outlined in the agreement
  • Final Payment: The remaining balance is due upon project completion and delivery

4.2 Payment Methods

We accept payments via bank transfer, credit/debit card, or other methods as agreed upon. All payments must be made in GBP (£) unless otherwise specified.

4.3 Late Payments

If payment is not received by the due date:

  • We reserve the right to suspend work until payment is received
  • Late fees may apply as specified in the Service Agreement
  • We may terminate the agreement if payment remains outstanding for an extended period

4.4 Revisions and Additional Work

The Service Agreement will specify the number of revision rounds included. Additional revisions or work beyond the agreed scope will be billed separately at our standard hourly or project rates.

5. Intellectual Property and Copyrights

5.1 Client-Owned Materials

You retain all rights to content, images, logos, and other materials you provide to us. By providing these materials, you grant us a license to use them solely for the purpose of delivering the agreed services.

5.2 Work Product Ownership

Upon full payment of all fees, you will receive ownership rights to the custom work product delivered as part of the project, including:

  • Custom code, designs, and configurations created specifically for your project
  • Custom graphics, layouts, and visual elements
  • Project-specific documentation and deliverables

5.3 GrowZen Retained Rights

We retain the right to:

  • Use project work in our portfolio and marketing materials (with your permission)
  • Retain ownership of proprietary tools, frameworks, and methodologies we use
  • Reuse general knowledge, techniques, and skills gained during the project
  • Continue using any third-party tools, plugins, or services we license

5.4 Third-Party Components

Projects may include third-party components (themes, plugins, APIs) that remain subject to their respective licenses. You are responsible for complying with these licenses.

6. Project Timeline and Delays

Project timelines are estimates based on the information provided. Delays may occur due to:

  • Client delays in providing feedback, approvals, or required materials
  • Changes to project scope or requirements
  • Unforeseen technical challenges
  • Third-party dependencies or delays

We will communicate any anticipated delays and work with you to adjust timelines as needed.

7. Revisions and Approval Process

The Service Agreement will specify the revision process. Generally:

  • You will have opportunities to review and request revisions during designated phases
  • Revisions must be requested within the specified timeframe
  • Approval of deliverables indicates acceptance of work completed to that point
  • Major changes after approval may incur additional costs

8. Warranties and Disclaimers

We warrant that services will be performed with professional skill and care. However:

  • We do not guarantee specific business results, revenue increases, or performance metrics
  • We are not responsible for third-party platform changes, outages, or limitations
  • We do not guarantee uninterrupted or error-free service
  • Results depend on various factors beyond our control, including market conditions and client execution

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the total fees paid for the specific service giving rise to the claim
  • We shall not be liable for indirect, incidental, special, or consequential damages
  • We are not responsible for loss of profits, data, or business opportunities

10. Termination

Either party may terminate the agreement:

  • With written notice if the other party breaches a material term
  • For convenience with appropriate notice (as specified in the Service Agreement)

Upon termination, you will pay for all work completed up to the termination date. We will deliver completed work product upon receipt of payment.

11. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the project. This obligation continues after project completion.

12. Indemnification

You agree to indemnify and hold GrowZen harmless from any claims arising from:

  • Your use of the delivered work product
  • Content, materials, or information you provide
  • Your violation of these Terms or applicable laws

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting. Continued use of our services after changes constitutes acceptance of the modified Terms.
